Bands assume basic spec: stock fabric, one logo placement, standard packaging. Five drivers move a quote inside or beyond its band — fabric grade, decoration class, pattern complexity, packaging tier, and Incoterm. Quotes return within 24–48 hours in USD, EUR or GBP. Tier-2 pricing reflects an 8–12% reduction off base; Tier-3 deepens to 18–24% with a further break point at 2,000 pcs.

Contract essentials — the clauses signed before any deposit moves.

1 Proforma Invoice (PI) issued before deposit
PI itemizes SKU, order volume, decoration, fabric, Incoterms, lead time, deposit %, balance trigger, AQL standard, and packing spec. Issued within 1 BD of brief acceptance. No deposit request without a signed PI on both sides.
2 30% deposit on PO sign-off
30% deposit kicks production line scheduling and locks fabric. Wire-only, no escrow surcharge. Deposit is refundable in full if Yogavendor cannot meet the PI lead time for any reason on our side — on-time-delivery rate >98% on bulk PO.
3 70% balance against pre-shipment inspection
Remaining 70% wires only after the AQL 2.5 inspection report is shared with the buyer. Buyer may book a third-party inspector (SGS / BV / TUV) at buyer’s cost; report is mandatory before B/L release.
4 Mutual NDA auto-attaches on tech-pack share
The moment a tech-pack URL or PDF lands in the thread, our system auto-generates a mutual NDA covering design IP, supplier list, fabric source, and pricing. Two-way binding, no extra step from you.
5 Design IP stays with buyer
Pattern, tech-pack, and decoration artwork remain 100% buyer’s IP. Yogavendor cannot reuse buyer artwork or pattern for another client. Internal records destroyed within 24 months of last PO unless the buyer renews.
6 Pre-shipment QC inspection report
Every wholesale shipment passes a pre-shipment sampling inspection covering measurements, stitch density, color ΔE, packing, and labeling. Report is shared as PDF with photos before balance request. Report retained 24 months for buyer audit.

Trigger: brief accepted and tech-pack gaps closed. Runs on the dedicated sampling line, so a bulk queue never delays it. Releases: sealed sample plus your written approval — nothing cuts until both exist.

Trigger: signed PI plus 30% deposit, which books the line slot and locks fabric. Window length depends on which sewing line your SKU books onto — see the line-by-line chart above. Releases: the final inspection report.

Trigger: 70% balance against the shared inspection report. FOB averages 30 days, CIF 35, DDP 42 with duties prepaid — your Incoterm choice is also your calendar choice. Releases: delivery confirmation at your dock or FC.

Honest math: sample plus the longest line plus DDP transit can exceed 67 days — the timebox holds because most programs book shorter lines and faster terms. If your SKU books Line C with DDP, we tell you the real number at quote stage, not at week nine.
